Litigation for Enterprise Software and Online Companies

Over the last several years, Sullwold & Hughes has developed substantial experience working with companies that sell enterprise software and provide online services. In particular, we have successfully represented enterprise resource planning ("ERP") software companies in litigation with their customers in both federal and state court. Typically, these disputes involve allegations that the software did not perform as represented. The customer refuses to pay the contract price, and, usually, it asserts a claim for consequential damages. These cases often involve an initial venue battle over whether the dispute will be resolved in the customer's or the software company's "home court." Once that issue is resolved, the disputes raise both legal issues of contract interpretation and technical issues of software design and implementation.

We also have represented an on-demand construction management software company in a dispute with its investors and an online marketing company in litigation with its investment banker and with a customer.
